EXPERIENCE

Advised shareholders of Neptūno vandenys, one of the major mineral water producers in Lithuania, on sale of the company to Coca-Cola HBC, that is part of the global soft drinks giant Coca-Cola family (2015);

Advised advised Affidea (formerly known in Lithuania as Medea) group companies on merger of four companies in Lithuania into single entity. The process was structured in such manner that three subsidiaries were merged into parent company, thus simplifying group structure as well as making administrative body and corporate management more effective (2015);

Advised collapsed commercial bank Snoras on the sale of EUR 169.7 million Snoras loan portfolio to an international investor consortium led by private funds registered in Luxembourg and investment bank Deutsche Bank AG (2015);

Advised MCI.TechVentures 1.0, managed by the MCI Management, on the acquisition of a majority shareholding in Pigu.lt , the e-commerce leader in the Baltic States (the Company’s revenue is nearly EUR 50 million) (2015);

Counsels UAB Valnetas, a bankruptcy administrator, in legal matters related to bakruptcy procedures of AB Ukio bankas. AB Ukio bankas is the second bank in Lithuania which went bankrupt in last economic downturn, therefore the bankruptcy process is closely monitored by all institutions and general public. (2014);

Advised Safariland group, which is engaged in production of security products used in the operations of law enforcement authorities, on business development in Europe and represented it in acquiring business in Lithuania (2013);

Advised UAB Impuls LTU in takeover of Impuls health & wellness clubs chain – largest health & wellness facilities chain in Lithuania. The transaction required use of complex legal mechanisms, such as emphyteusis (long-term lease) for use of the premises, land and equipment in clubs (2012);

OTHER EXPERIENCE

Represented UAB Litfarma in investment transaction, where the client received investment from Estonian group of Companies (2014);

Represented and advised the client in sale of companies having and operating solar power plants (2013);

Advised various clients on investing into renewable energy projects and implementation of such projects (2011–2013);

Participated in the performance of legal due diligence reviews of UAB Mulga (the manager of the shopping centre in Panevėžys Babilonas I), UAB Arvi Cukrus, ship stevedoring company AB Klaipėdos Smeltė, Įmonių Grupė Alita, AB Agrowill Group (including group companies), AB GRIGIŠKĖS, AB Warta Glass Panevėžys, AB Avia Solutions Group (including group companies) and other companies (2011–2014);

Participated in and advised the client on reorganisation of companies holding major wind power plant parks in Lithuania (2012);
